Terms of Service
The basic terms for using ClipPrism video and audio analysis, transcription, scoring, clipping, and export services.
Agreement and eligibility
By creating an account, starting a trial, purchasing a plan, or otherwise using ClipPrism, you agree to these terms. You must be at least 18 years old and legally able to enter into this agreement.
Content submitted to ClipPrism includes uploaded MP4 video, MP3/WAV audio, and content you ask us to process through a video link. We use the submitted link and related source information to provide that requested service. Providing a link does not replace the requirement to own the content or have sufficient authorization. At your request, we retrieve linked media and its title, duration and source information to transcribe, score, preview and export your content. This may involve source audio, lower-resolution previews and original-quality video segments cached for processing, recovery or finding more clips. The same content rights and limited service license apply to uploaded files and linked content. For audio-only Apple Podcasts episodes, we also retrieve and process the show artwork to create a video. Your content rights and the limited service license must cover both the audio and the artwork.
To help you identify past content, video names and small cover images for signed-in users may remain after the source video and clips expire, until you delete the content. This does not extend access to the source media or clips. Deleting the content also deletes its cover. Anonymous-trial expiry and access limits remain unchanged.
User content and limited license
You retain rights in your content and grant ClipPrism only the limited, non-exclusive permission needed to receive, store, extract audio, transcribe, score, preview, export, and deliver the results you request.
- You must own the content or have sufficient authorization to process it.
- The license does not include general model training, advertising, or marketing.
- Do not upload unlawful, infringing, malicious, or unauthorized sensitive personal content.
Plans, billing, and renewal
Paid plans are recurring subscriptions and automatically renew at the price and billing interval shown at checkout until you turn off renewal or the subscription otherwise ends. Checkout or your account shows the final charge, currency, applicable taxes or fees, and next renewal date where available.
- You authorize the payment service provider to charge the selected payment method for each renewal.
- If a month does not contain the current renewal day, renewal moves to that month’s last day and later months continue from that adjusted day. The next renewal date shown at checkout or in your account controls.
- If we change a future renewal price or another material paid term, we will give reasonable advance notice and let you turn off renewal before the change applies, subject to applicable law.
Upgrades and lower-tier plans
For an eligible move from a lower paid plan to a higher plan, you pay the higher plan’s full displayed price. The higher plan starts immediately after payment is confirmed with a new full billing period and renewal date; the price is not prorated against days remaining in the earlier period.
- Remaining paid processing time from the earlier plan stays available only until its original expiry and is not copied into the higher plan.
- If upgrade payment fails or is abandoned, the earlier plan and its renewal setting remain unchanged. After the higher plan activates, ClipPrism attempts to turn off renewal for the earlier plan; check your account if both plans still show an upcoming renewal.
- Automatic downgrade is not currently offered. To move to a lower plan, turn off renewal, wait until all paid plan periods end and the account returns to Free, then purchase the lower plan. Expired processing time does not carry over.
Processing time and expiry
Included processing time is a service allowance, has no cash value, and cannot be transferred between accounts. Each paid balance keeps its own expiry; when several balances are available, ClipPrism normally uses the one that expires first. Unused time expires with its period and does not roll over unless a specific offer or applicable law says otherwise.
- Per-video limits and available features still follow the current highest plan.
- Processing may temporarily reserve time. If a processing attempt does not produce a reviewable result under the displayed usage rules, the reserved time is ordinarily released.
Stopping renewal, payment failures, refunds, and changes
Turning off renewal normally keeps paid access until the current paid period ends; it is not an immediate termination and does not by itself create a refund. A failed or overdue payment may suspend or end the affected paid access. After all paid periods end, the account returns to Free.
We may update these terms for changes to the service, law, security, or our operations and will update the date shown on this page.
- The account action attempts to stop all paid plans that still renew. Review each result; any plan still shown as renewing may renew until the stop request succeeds.
- Unless checkout, a specific offer, or applicable law states otherwise, starting a new period, upgrading, or turning off renewal does not automatically create a prorated credit or refund.
- Nothing in these terms limits withdrawal, refund, cancellation, or other consumer rights that cannot lawfully be excluded.
- Material service or paid-term changes will be notified within a reasonable period before they apply when required, and continued use after the effective date means acceptance only to the extent permitted by applicable law.
- For a material change affecting user rights, payment obligations, content permissions, or personal-data processing, we will provide reasonable advance notice by email, an account notice, or a prominent service notice where required.
- We will request agreement again where applicable law requires it. Continued use after the stated effective date means acceptance only to the extent permitted by applicable law.
Availability, suspension, and termination
ClipPrism may not be available in every country or region. You may not use the service where applicable law prohibits it. We may restrict, suspend, or terminate access for a material breach of these terms, unlawful or unauthorized content, abuse, security risk, overdue payment, or a legal requirement. Where reasonably practicable and no urgent risk exists, we will provide appropriate notice.
- Turning off renewal prevents future renewals but normally does not refund the current billing period. Exceptions apply where required by law, promised at checkout, or needed to correct a duplicate charge or billing error attributable to ClipPrism.
- Events beyond our reasonable control may delay, interrupt, or prevent the service. This does not remove any remedy or consumer right that applicable law does not allow us to exclude.
Automated service and limitation of liability
ClipPrism is provided on an as-is and as-available basis. AI-generated clips, transcripts, scores, captions, and recommendations may be incomplete or inaccurate, and you must review them before making them public or relying on them.
- The service supports an anonymous trial and registered accounts. Email-and-password login remains available alongside Google login; Google login requests only basic identity scopes. A necessary session cookie maintains anonymous or signed-in access.
- Current functions include uploading authorized MP4 video or MP3/WAV audio files, or importing video links, audio extraction, speech recognition, transcript-based scoring, clip review, previews, and plan-dependent MP4 exports. Lite and Standard are monthly plans. ClipPrism does not provide unauthorized downloading, scraping, or automatic publishing.
- Reviewable content is normally retained for 3 days for anonymous trials and 30, 90, or 180 days for Free, Lite, or Standard. Failed or non-reviewable tasks use a 7-day short-term boundary. Deleting or expiring content does not automatically refund consumed processing time; a safe usage history may remain visible for the most recent 12 months.
- To the fullest extent permitted by applicable law, ClipPrism is not liable for indirect, incidental, special, punitive, or consequential loss.
- To the fullest extent permitted by applicable law, ClipPrism’s total aggregate liability is limited to the greater of US$100 or the amount you paid ClipPrism during the 12 months before the event giving rise to the claim.
- These limits do not apply to fraud, willful misconduct, gross negligence, death or personal injury, or other liability and consumer rights that cannot lawfully be excluded or limited.
My fonts
To upload a private font, you must declare rights to upload it to ClipPrism for server processing, browser preview in your account and video generation, and submit authorization materials. Technical checks do not verify copyright. Fonts are restricted to your account and may be disabled following a rights complaint. Removing or disabling a font requires a replacement for newly rendered captioned videos; existing videos remain unchanged.
Editing assets and reusable schemes
Framing, captions, audio, visual elements, and intros/outros each offer reusable schemes and current-clip settings, subject to your plan. You retain rights in uploaded logos, images, videos, and text. Uploading confirms ownership or permission, including permission for ClipPrism to store, preview, process, and compose exports at your request. Cancelling file selection uploads nothing; technical validation is not rights clearance. This permission is limited to providing the service, not public distribution of assets, marketing use, or expanding the original content license. Lite and Standard can add built-in static or animated overlays alongside their own media. Trying an item does not add or save it.
Audio content and editing-software handoff
MP3/WAV audio can use transcription and clipping to create Audiogram MP4 videos with a cover, title, waveform, and captions. Original audio and temporary transcription audio have separate retention rules. Handoff to Premiere, DaVinci Resolve, or Final Cut Pro uses saved versions of video-source clips: Lite supports one clip; Standard supports multiple clips from the same video, each with its own timeline. Audio-only sources are not supported for handoff. Packages contain timelines, required media segments, optional saved subtitles, and related assets, not the full source video, native project files, or private font files. Some framing, caption styling, audio effects, and intros/outros require rebuilding in the target software. Review the package instructions; import and full effect fidelity are not guaranteed across all software versions.
Writing, transcript search, and editing inputs
AI Writer creates editable text from processed transcripts; transcription-only imports need not produce Clips. You may also create Clips from a continuous processed range and make cover or quote images from text, frames, and authorized uploads. Review generated text, search matches, quotations, and images before use. These tools do not automatically send newsletters or publish posts. Imported SRT files serve captions only, without replacing the source transcript or supplying AI Writer, clip discovery, or transcript search. Adopting a candidate and replacing manual edits require explicit action.
Processing minutes, text-generation allowances, and semantic-search minutes are separate. A text request uses one generation when at least one selected format succeeds; a wholly failed request releases its reservation, and completing failed formats in that request does not consume another generation. Keyword and exact-phrase searches use no search minutes. Each submitted semantic group costs the selected source duration, with a minimum of 10 minutes; valid zero-match results count, while system failures release the reservation. Reopening results does not charge again. These usage adjustments are not cash refunds. Background-music auditioning and mixing add no processing minutes or text generations. Editing-software handoff does not reproduce background music or its mix; use MP4 to preserve the rendered mix.
Buy extra processing minutes
Users with a current, valid Lite or Standard plan can buy at the same prices. Stopped renewal is fine while the paid period remains active; resolve overdue bills first. Free cannot make a new purchase but can use legally acquired, unexpired extra minutes.
Choose 100 minutes for $7.99 or 300 minutes for $19.99. Each is a one-time purchase with no automatic renewal. Confirm the final amount, currency and applicable taxes at checkout.
Each purchase lasts 180 days from successful payment, independent of monthly plan resets. Delayed confirmation does not restart validity. Account shows the individual expiry time.
Yes. Legitimate, unexpired extra minutes do not expire early when you downgrade. Current-plan features still apply: for example, 300 minutes bought on Standard still have a 30-minute per-video limit after moving to Free, along with all other Free limits.
The earliest expiry is used first. Exact expiry ties use plan minutes, then rewards, then extra minutes. Account shows each balance, reservation and expiry.
No. They only increase total processing time, not per-video duration, concurrency or other features. They do not extend file retention.
A task that successfully reserved valid minutes may finish and settle against that reservation. Failure releases the original reservation without extending its expiry. Already-expired time does not become newly usable. Contact support for review of service-incident compensation.
Refund help
Contact support for manual review; there are no automatic self-service refunds. A completely unused accidental purchase may be reviewed within the payment provider’s acceptance period disclosed with the purchase. Duplicate charges, failed delivery, used packs and partial refunds require manual judgment. A request does not guarantee approval. Non-excludable legal rights remain unaffected. Accidental, completely unused purchases may be submitted for manual refund review within 14 days of purchase. Approval is not automatic; mandatory consumer rights remain unaffected.
Find the order on the Referral rewards page → Purchases and use Refund help, or email support@clipprism.com with the order reference and reason. The record shows funds progress and a separate minute-adjustment status. Provider confirmation determines refund completion; bank arrival timing depends on the bank. Never send full card numbers, passwords or verification codes.
No automatic cash refund is triggered. Task failures release reservations under the usage rules; downgrades do not remove valid balances early; unused minutes expire at their deadline. Payment or service issues can be reviewed manually without limiting statutory rights.
After a confirmed refund, unused minutes associated with that order are adjusted under the review decision. Account and usage records show the change, reason, time and before/after balances; purchase history shows funds progress. Both can link to the same order. Partial refunds do not automatically convert proportionally into minutes.
Funds and minute adjustments are separate states. A syncing notice shows the last confirmation time rather than presenting an old balance as current. Refresh or contact support from that order. Do not purchase again or submit another refund request.
A request or approval alone is not a successful refund. Chargebacks are tracked separately. Later dispute outcomes and minute adjustments or restoration remain recorded. Restoration preserves the original expiry; additional compensation requires separate review.
Referral rewards
The ClipPrism Referral Program lets you invite new creators. You both receive extra processing minutes when the reward conditions are met. Free, Lite and Standard users can invite friends after signing in; you do not need to process or export a video first. Email verification is part of signing in, and Google sign-in does not require a separate verification step. Generate your link on the Referral rewards page. Your friend must still meet the activation or qualifying first-payment conditions for rewards.
Only new accounts created after the campaign starts can be invitees. Existing users may invite others but cannot retroactively become invitees. On another device, enter a valid code before completing registration. The first valid invitation locks at registration and cannot be changed. Switching devices or clearing storage can prevent recognition; confirm before registering.
Claimed anonymous trial results can count after registration. You do not need another analysis once successful processing and export requirements are met. Export is based on server-confirmed delivery evidence.
When a valid new invitee verifies the account and completes a first successful processing and export within the window, both users receive 15 minutes. A qualifying first Lite or Standard subscription payment earns both 30 minutes after 14 days of observation and eligibility checks. Registration alone earns nothing. Each stage is awarded once per invitee; payment can precede activation.
Genuine valid invitations and rewards have no fixed count limit. Self-referrals, duplicate accounts and other abuse do not qualify. Unusual records may receive manual review; contact support about your own reward status.
Register within 30 days of clicking a valid invitation. Complete activation or a qualifying first payment within 30 days of registration. The 14-day payment observation can finish outside this window if payment occurred within it. Account shows relevant deadlines and reward states.
No. It applies to the genuine first qualifying Lite or Standard subscription payment. Extra packs, renewals, repeat purchases, zero-value orders and small paid trials are excluded. Refunding the first payment and buying again does not earn a second first-payment reward.
Rewards expire 90 days after grant. They cannot be cashed out or transferred and do not change plan features. Stopping renewal does not erase valid rewards early. Receiving a reward never triggers another referral reward.
A full refund or final chargeback of the qualifying payment cancels pending first-payment rewards and revokes the corresponding unused granted rewards. Used rewards are not collected as cash and other legitimate paid balances are untouched. Partial refunds need manual review. Reversed or won disputes can restore rewards. Stopping renewal alone does not revoke rewards or activation bonuses.
